Forbes, Jr. represent 12.4% of the outstanding shares of common stock of the Issuer based on (i) 22,210,355 shares outstanding as of November 9, 2015 per the Issuer’s quarterly report on Form 10-Q filed on November 13, 2015 plus (ii) the aforementioned 44,445 shares of restricted stock that vest within 60 days of December 31, 2015.
